In consideration of Al-Waha Petroleum Co., Ltd. (hereinafter referred to as "Company"), a company with its principal place of business in the People’s Republic of China, entering into contract number [insert contract number] (hereinafter referred to as the "Contract", which expression shall include the same as may be varied, supplemented, renewed or replaced from time to time, and shall include all the attachments and exhibits thereto) with [insert Bidder name] (hereafter referred to as “Contractor”), a company incorporated in [insert jurisdiction], for equipment and materials purchase, we, [insert Parent Company name], a company incorporated under the laws of [insert jurisdiction] (hereinafter called “Guarantor”), hereby unconditionally and irrevocably guarantee, as primary obligor and not as surety only, the due and punctual performance and observance by Contractor of the terms and conditions of the Contract and amendments thereof which may subsequently be duly executed by Contractor and the due payment and discharge of all moneys whatsoever which may from time to time fall due to be paid by Contractor to Company or any third party under or pursuant to the Contract.
